Interlocking Manfred Paulmann y Cencosud
La Fiscalía Nacional Económica (FNE) informó la tarde de este martes la presentación ante el Tribunal de Defensa de la Libre Competencia (TDLC) un acuerdo extrajudicial al que se llegó con Manfred Paulmann (en la foto), Cencosud y Asesorías Alpa, matriz de las tiendas Maxi K.
El hijo del fundador de Cencosud, Horst Paulmann estaba siendo investigado por entrelazadoes decir, cuando un consejero o directivo ocupa un cargo relevante en dos o más sociedades competidoras.
Los firmantes del acuerdo, informó la Fiscalía, reconocen que Manfred Paulmann se desempeñó en paralelo como director de Cencosud y ARS, filial de Asesorías Alpa que estuvo, hasta agosto de 2023, detrás de las tiendas Breti y, hasta el día de hoy, de Maxi K. La primera de estas marcas fue adquirida precisamente por Cencosud, que también opera en el segmento de tiendas de conveniencia a través de Spid.
Pagos de beneficios fiscales
La FNE explicó que el acuerdo obliga a empresarios y empresas a realizar pagos de beneficios fiscales por un total de 1.200 millones de dólares. Paulmann asumirá 50 millones de dólares; Alpa Consulting, 280 millones de dólares; y Cencosud, $870 millones. Además, adoptarán “una serie de medidas para salvaguardar la libre competencia en el mercado y garantizar que se ponga fin a la conducta.”
La investigación se inició con el análisis de la operación de concentración mediante la cual Cencosud adquirió Breti, en septiembre de 2023. “Las empresas deben comprender la relevancia fundamental de la prohibición de entrelazado y cumplirlo estrictamente. Continuaremos monitoreando activamente el cumplimiento para alentar a las empresas a competir intensamente”, dijo el líder de la FNE, Jorge Grunberg.
Buena fe
Por su parte, Cencosud informó la situación a la Comisión para el Mercado Financiero (CMF) a través de un hecho esencial: “El acuerdo establece que Cencosud SA ha actuado de buena fe, bajo un entendimiento distinto al expresado por la Fiscalía Nacional Económica respecto del alcance de entrelazado horizontal y la noción de empresas competidoras”.
Y añadió que “Se ha elegido este acuerdo extrajudicial -en el que no hay reconocimiento de responsabilidad por parte de Cencosud ni del director Manfred Paulmann- porque queremos priorizar la energía y los recursos en nuestro plan estratégico y en el futuro de nuestro negocio”.
